Creditunioncareers.ca (the “Website”), “Credit Union Careers” job portal, and all associated services (herein “the Services”) are administered by National Consulting Limited (NCL) (the “Company”). Services are provided on an “as is” basis for the benefit of employers and job seekers, as well as for anyone interested in researching and learning about careers with, or information related to working for Canadian credit unions. The Services are intended for a Canadian audience and/or those offering or seeking employment in Canada only.

Use of Materials Restrictions

By using the Services for any purpose, you acknowledge that you understand and agree to abide by the Terms and Conditions as well as the Privacy Policy applicable to the Website and the Services. In addition, you acknowledge and agree that your access to the Website and Services is undertaken at your own risk; the Company is not responsible for any offensive or otherwise objectionable materials that may be posted by any third party. The terms You and User used herein refer to Website visitors, job seekers, employers, or any other individuals or entities that accesses this Website for any purpose.

You understand and agree that by accessing, using or downloading information, documents, graphics, logos, images, data, messages, text, or any other materials of any kind from the Website (collectively known as the “Materials”), or by sending such Materials, you are not only obliged to be aware of and abide by the Terms and Conditions while visiting the Website and using the Services, but also continue to be bound by these Terms and Conditions thereafter when using any material derived from the Website or Services.

In addition, aside from the personal or confidential corporate information associated with your User account, you acknowledge that all Materials, including those submitted by you are provided to you by the Company, who retains sole copyright over them except as expressly noted herein. Moreover, you acknowledge that you have no right to, title of, or interest in any of the Materials on any legal basis, except as expressly noted in these Terms and Conditions.

Wherever applicable by law or by separate contractual arrangements, any trademarks, logos, graphics, images, messages and content of any kind not belonging to the Company according to the conditions noted above are the respective intellectual property of their owners, and may not be used or duplicated except with their permission.

You must be 16 years old or older to use the Website and the Services. If you are under the age of 16 you must immediately cease using the Website and the Services.

Agreement to Terms & Conditions

Your use of the Services, whether as a Website visitor, job seeker, employer, or any other type of User, is conditional on your acceptance of the Terms and Conditions of use indicated here.

Fees

Users who are prospective Employers agree to pay applicable fees for the purchase of “credits” as such fees are disclosed on the Website. Credits may be used for the purposes described on the Website and are valid for one year from the date of purchase.

Privacy Reminder

Please note that in addition to the Terms and Conditions listed here, use of the Services also requires your agreement to the Website’s Privacy Policy. You acknowledge that you have read and agree with both the Terms and Conditions listed here as well as the Privacy Policy.

Acceptable Use of Services

The only acceptable uses of the Services are those related to seeking or offering employment in the credit union industry within Canada, researching employment opportunities in Canada’s credit union industry, and acting as an unregistered User for the purpose of viewing the public areas of the Website, and/or performing general research about employment trends in Canada (the “Acceptable Uses”). By using the Website, Users agree to use the Website and information obtained through the Website and the Services only for the Acceptable Uses. Users agree to collect, use and disclose personal information (as such term is defined under applicable privacy laws) of Users obtained through the Website or the Services only as required for the Acceptable Uses.

Furthermore, within the scope of the above Acceptable Uses, you agree to use the Services to send and/or receive Materials that are proper and related to the purpose of the Services only.

Prohibited Use of Services

Any uses other than those listed above under “Acceptable Use of Services” are expressly prohibited, including but not limited to performing research to settle legal disputes in employment matters, internet lurking for the purpose of checking on individuals or corporations, and contact list development of any kind, other than for a specific employment opportunity and the Users relevant to that opportunity.

Furthermore, you agree not to attempt to circumvent the security measures of the Website or Services, use the Services for anything other than their intended purposes, or interfere with the access and use of the Website and/or the Services by any other User.

Specifically, you warrant that you will not attempt to access areas of the Website or use aspects of the Services for which you do not have the Company’s explicit permission as a registered User. As well, you will not attempt to reverse-engineer, modify, disassemble, decompile, or otherwise attempt or allow others to attempt to discover the underlying computer code for the Website or its Services or create a functioning duplicate of the Website or Services that violates the proprietary rights of the Company without the express written permission.

You agree not to take any action intended to test the security measures of the Website, attempt to identify system vulnerabilities, and/or attempt to overwhelm or disable the Website or the Services. In addition, you agree not to intentionally expose the Website and/or the Services to any computer virus, program, or code intended to disrupt or disable the operations of the Website and/or the Services. Similarly, you agree not to use any web bot, spider, or other program or device to retrieve and/or index any portion of the Website, other than those portions available to the public without logging in, and for any purpose other than to display in a publicly available search engine results page or similar type of publicly available results feed, such as a news/web page reader.

If the Company becomes aware of any such prohibited or questionable activities, whether listed here or not, the Company reserves the right to investigate and respond in accordance with these Terms and Conditions and governing legal statutes, and when appropriate, to work with law enforcement authorities for the purpose of prosecuting offenders.

Your continued use of the Website and the Services is expressly contingent upon your agreement to and compliance with all the prohibitions, obligations, and restrictions noted in these Terms and Conditions.

In addition to all the above prohibited uses, you acknowledge that all of the following are prohibited:

  1. Using the Services and/or the Website to violate any applicable law or regulation, including, without limitation, the infringement of any copyright, trademark, trade secret or other intellectual property right of others.
  2. Using the Services and/or the Website to violate the privacy or publicity rights of any other person or corporation.
  3. Submitting to the Website or using the Services to transmit information that is abusive, defamatory, discriminatory, hateful, obscene, vulgar, sexually-orientated, threatening, or otherwise objectionable in the sole judgment of the Company.
  4. Posting information about yourself or your company that attempts to take advantage of another person or company’s bad press or misfortune.
  5. Posting any position or business opportunity that contains false, misleading or inaccurate information.
  6. Using the Services in any way to ask for payment from Users for consideration of any kind whatsoever.
  7. Posting positions that require the recruitment of other individuals, sub-distributors or sub-agents such as for multilevel marketing schemes, pyramid schemes, and franchise or distributorship arrangements.
  8. Soliciting personal or corporate information that is not required as part of offering or seeking employment for a specific position in question.
  9. Sending or initiating unsolicited communications of any kind, for any reason. Communications include, but are not limited to, mail, email, phone calls, faxes, instant messages, or text messages.
  10. Posting advertisements of any kind, other than for relevant employment positions except as expressly permitted in writing by the Company.
  11. Relying on the Website and/or the Services as a repository of information and communications about current or past available positions, or any other employment information that may at any time be available.

This and other lists of prohibitions and restrictions contained in these Terms and Conditions are intended as examples and illustrations only and are not intended to be complete or exclusive.

No Commercial Use of Services

You agree not to make any unauthorized commercial use of the Website or Services, including but not limited to presenting the Website or Services as your own or in any way commercially available through you or controlled by you except with explicit written permission from the Company.

In addition, you agree not to assign, resell, rent or share either your User account, or your rights and responsibilities under the Term of Conditions of use.

Termination of Use of Services

The Company reserves the right to terminate your use of the Services , and prohibit your access to the Website and/or the Services for any reason, including, without limitation, any action that the Company, in its sole judgment, determines to be inappropriate or disruptive to the Website, Services or to any other User.

Your Rights as a User

As a normal and expected part of using the Services by Users of all types, the Company grants you the limited right to copy and download and/or display the Materials on your personal computer or in a private business setting. This limited right is contingent upon your inclusion of the Company copyright notice (as seen on the Website), if any.

As part of this limited right to download and display the Materials, you understand and agree that you have no right to take the Materials and edit, alter, enhance or modify them in any way, whether for personal or business use. This limited license terminates automatically and may be revoked at any time, without notice to you, if it is suspected that you may be in breach of any of these Terms and Conditions at any time.

The Company reserves the right to remove any and all of your postings from the Website and/or the Services and to revoke your privileges and terminate your account as a User with or without cause and without notice. If the Company decides to provide notice to you of termination of your account, upon such notice of any revocation of your limited license to use the Materials, you agree to immediately return and/or destroy as directed any electronic or printed Materials downloaded or copied from the Website, and cease using the Website and/or the Services.

The preceding restrictions do not impose on the Company, and the Company does not intend to indicate or assume any obligation to monitor or remove any posting or other information or communication submitted by you or any other User, except where lawfully compelled to do so upon receipt of proper notification and instructions from the appropriate legal authorities.

As an essential aspect of Terms and Conditions of using the Services, you understand and acknowledge that the Company cannot be held responsible or liable for any Materials or postings found on the website submitted by you or by any other User.

Login & Password Information

The Company takes reasonable means and follows industry best practices in providing secure password processes and a secure Website and business environment for using the parts of the Services that require password authentication. As part of the security of the Services, you are responsible for maintaining the confidentiality of your login and password information.

Moreover, you are responsible for all uses of your password and login information, whether authorized by you or not. In addition, you agree to notify the Company of any unauthorized use of your registration or password immediately upon verification that such unauthorized use has taken place.

Deleting Your Account/Information

As part of using the Services, you may choose to close your account at any time by using the methods and instructions provided on the Website or by the Company’s representatives.

In the event that these methods and instructions do not function properly and your information is not removed in a reasonable period of time, you may submit a request via the Website or by mail to have your User account closed and your profile information as it is visible to other Users as part of the Services (herein “Profile”) removed.

Notwithstanding any closure of your User account and deletion of your Profile, the Company reserves the right and has a legal obligation to retain certain User information for a period of time as part of its regular business practices and in accordance with governing law. In addition, the Company has no control over information of Users provided to employers or other third parties through the Website and will not be able, and shall not be responsible, to ensure the removal or deletion of any such information.

Disclaimer of Warranties

As a User of the Services, whether as a Website Visitor, job seeker, employer, or any other type of User, you understand and acknowledge that any use of the Website and/or the Services or reliance on the Materials is at your sole risk.

The Website and the Services are provided on an “as is” basis for informational purposes and for the convenience of Users posting job opportunities and/or seeking employment.

The Company expressly disclaims any and all representations and warranties, including without limitation any implied warranties and conditions, as to the completeness, legality, reliability, operability, availability, merchantability, quality, and/or fitness for a particular purpose, or non-infringement condition of the Materials and Services.

The Credit Union Careers Website and Services are provided as a venue, among other things, for job seekers and employers to share information about job opportunities and job qualifications. The Company does not screen or censor the postings by any Users or Third Parties as part of its regular business practices. As a result, the Company disclaims any responsibility as to the accuracy, quality, or legality of information posted to the website. Therefore, by using the Services you assume all risks associated with coming into contact with or communicating with other Users, including but not limited to risk of physical harm of dealing with strangers, foreign nationals, underage persons, people acting under false pretenses, or anyone else you may encounter as a result of using the Services.

As User authentication via automated website services is challenging and uncertain, and because the Company does not vet each User for validity, the Company cannot, and does not, guarantee the authenticity of Users and their communications. No part of the Services includes implied, intended or actual involvement in User-to-User dealings now or in the future. In the event that you have a dispute with one or more Users, you release the Company and it agents, partners, affiliates, employees, and associated third parties with the Services from all claims, demands and damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with User-to-User disputes.

Except as captured in other legal arrangements related to the Services that are separate from these Terms and Conditions, the provision of the Services to Users does not constitute a legal or commercial relationship of any type, be it lawyer-client, advisory, fiduciary, or other relationship.

Moreover, while various industry standard precautions are taken to ensure the security and availability of the Services, the Company does not warrant that the Website will operate continuously at all times without interruptions to the Services, nor that the Website and Services will operate error-free, virus free, or free from other harmful mechanisms, be they trojans, worms, or other malicious software.

Any Materials available on the Website or through the Services that relate to legal matters as regards to employment or any other matter, including any material provided by Third Parties, is not intended to be legal advice of any kind. Nor is the information about persons, companies or other entities warranted to be accurate or up to date. No one should act, or refrain from acting, based solely upon this or other information on the Website without first seeking appropriate legal or other professional advice.

The Services are intended only for Users who reside or are otherwise offering or seeking employment in Canada. Some provinces and other Canadian jurisdictions do not allow the exclusion of implied warranties, so the exclusions may not apply to you. Notwithstanding possible differences in law as indicated above, as a corporation operating from the province of Saskatchewan, the Company maintains the validity of these Terms and Conditions within the laws of all jurisdictions in Canada and Saskatchewan.

Limitation of Liability

By using the Website and/or the Services, you agree that the Company, as well as its agents, partners, affiliates, and any other third party mentioned on this Website, is not and will not be responsible for any loss or damages whatsoever, including without limitation indirect, special or consequential damages or any other kind of legal damages (including without limitation damages for loss of information or data, loss of revenue, loss of savings, loss of profit, or harm to your business) that may arise from or be connected to your use of, access to or inability to use or access the Website and/or the Services, including any of the Materials or third party services available or linked from the Website, even if the Company, its agents, partners, or third parties have been notified of the possibility of such damage or loss.

In any and all disputes that may arise from your use of the Website and/or the Services, including your use of the Materials, you agree that the aggregate liability for the Company to you for any and all claims will not exceed $100 CAN.

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its agents, partners, affiliates, and any other third party mentioned on this Website, including each of their officers, directors, employees and agents from and against any and all claims, actions or demands, including without limitation all liabilities, claims, costs and expenses, including attorneys’ fees and accounting and legal fees that you may incur or that may arise out of or in connection with your use of the Website and/or the Services and/or your breach of these Terms and Conditions.

Choice of Law & Venue

National Consulting Limited is a Canadian corporation operating from the Province of Saskatchewan. As such, the Company not only makes no representation or warranty as to the appropriateness or availability of the Website and/or Services for use at any locations outside Canada, but also cautions that if you access the website from outside Canada, you are responsible for compliance with all local laws. Moreover, you may not export any of the Materials available from the Website or through the Services in violation of any applicable export laws and regulations

In addition, the Website and Services, as well as the Terms and Conditions and Privacy Policy of the Services, shall be interpreted, construed and governed by the laws in force in Canada and in the province of Saskatchewan, without reference to the laws of any other province or jurisdiction in Canada, except where expressly prohibited by mandatory provisions of applicable laws in your jurisdiction. Without exception the parties agree that any legal action arising out of your use of the Website and/or the Services or Materials shall be commenced at a location of the Company’s choice in the Province of Saskatchewan. Each party hereby agrees to submit to the jurisdiction of the courts of Saskatchewan and to waive any objections based upon venue in any such action, suit or proceeding.

Changes to Terms & Conditions

The Company reserves the right to change the Terms and Conditions of Services at any time without notice. As a condition of using the Services, you agree that you understand and acknowledge the latest Terms and Conditions of use, and you are therefore encouraged to check for updates to the Terms and Conditions on a regular basis.

Arbitration

Any and all disputes found to have legal merit arising out of your use of the Website, Services, or about the Terms and Conditions of the Services themselves, whether related to the performance, breach, enforcement, existence or validity of the Services, or any failure of the parties to reach agreement with respect to matters provided for in these Terms and Conditions and all matters of dispute relating to the rights and obligations of the parties, which cannot be amicably resolved, even if only one of the parties declares that there is a difference, will be referred to and finally settled by private and confidential binding arbitration before a single arbitrator holding proceedings in English at a location of the Company’s choice in the Province of Saskatchewan.

Notwithstanding the above indications about legal proceedings as regards disputes about the Services, each party may pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts of SK only.
